Terms of Service
1. About these terms
These Terms of Service (the “Terms”) govern your use of KeyWho, a business-verification service provided by DST DWC-LLC, trading as KeyWho, a company registered in Dubai, United Arab Emirates (“KeyWho”, “we”, “us”).
By creating an account, buying a verification or using the service, you agree to these Terms on behalf of yourself and the organisation you represent (“you”, the “Customer”). If you do not agree, do not use the service. If you have signed a separate written agreement with us, that agreement takes precedence where it differs from these Terms.
KeyWho is a business-to-business service. It is intended for use by companies and professionals, not by consumers for personal purposes.
2. The service
KeyWho helps you assess a company you intend to do business with (a “Counterparty”). Depending on your plan and the documents provided, the service:
- accepts company and trade documents that you upload, or that the Counterparty uploads through a secure link you send;
- reads them with OCR and AI, checks their fields and compares facts across documents;
- looks for signs that a document may have been altered, and checks digital signatures and issuer verification links where available;
- screens the company and the people named in its documents against sanctions and politically exposed person (PEP) lists;
- consults public company registers where they are available for the relevant country; and
- produces an outcome (Approved, Rejected or Review Required), a score, a report explaining the findings and a certificate that can be checked on a public page.
Which checks are available depends on the country, the documents, the registers and lists we can access, and your plan.
3. Accounts and access
You must give accurate information when you register and keep it up to date. You are responsible for the people you invite to your account, for keeping sign-in details secure, and for activity under your account. Tell us promptly at admin@keywho.com if you suspect unauthorised access. API keys are confidential and must be stored securely.
4. Your responsibilities
You agree that you will:
- only submit documents and information that you are entitled to submit, and have a lawful basis — and, where needed, have given the required notices — to have personal data in them processed by KeyWho;
- use the service only for legitimate business purposes such as onboarding, due diligence, procurement and compliance, and in line with applicable law, including data protection, anti-money-laundering and sanctions laws;
- not use the service to harass, discriminate against or unlawfully profile any person;
- not upload malicious files, attempt to access other customers' data, probe or disrupt the service, or reverse-engineer it except where the law allows; and
- not resell the service or present its results as your own certification without our written consent.
5. What a result means
KeyWho is a decision-support tool. Its results are based on the documents and information provided and on third-party sources such as sanctions lists and public registers, which may be incomplete, out of date or unavailable. Automated reading and analysis can make mistakes.
An “Approved” outcome is not a guarantee that a company is legitimate, solvent or trustworthy, or that its documents are genuine; a “Rejected” or “Review Required” outcome is not a finding of wrongdoing. Results are not legal, financial or compliance advice. You remain responsible for your own decisions and for meeting your own legal and regulatory obligations, and you should review the report and carry out further checks where appropriate.
6. Fees and payment
Prices are shown on our pricing page or in your order. Payments are processed by our payment provider, Stripe. Unless stated otherwise, prices exclude taxes such as VAT, which are added where they apply. You authorise us and our payment provider to charge your payment method for the fees you owe. If a payment fails, we may suspend new verifications until it is settled.
7. Subscriptions
Subscriptions renew automatically at the end of each billing period at the then-current price, unless cancelled before the renewal date. Each plan includes the verifications and features described for it; verifications beyond the included amount are charged per use at the rate for your plan. We will give you reasonable notice before a price change takes effect for your subscription.
You can cancel at any time. Cancellation takes effect at the end of the current billing period; refunds are covered by our Refund & Cancellation Policy. After a subscription ends or is unpaid, new verifications stop, but you can still read, export and erase your existing cases until they are erased under the applicable retention period.
8. One-time verifications
A one-time verification covers a single verification case. When you buy one, we create a simple account for the email address you give, which you use to follow the case and download the report. Refunds are covered by our Refund & Cancellation Policy.
9. Your data
You keep all rights in the documents and information you or your Counterparties submit (“Customer Data”). You grant us the rights we need to process Customer Data to provide, secure and support the service. For personal data in Customer Data, we act as your processor and process it on your instructions, as described in our Privacy Policy and any data processing agreement between us. Customer Data is stored encrypted in the European Union.
Cases are kept for the retention period configured for your account and then erased automatically; you can erase a case earlier. You can export your cases while your account is active.
10. Intellectual property
The service, its software, document library, reports' design and the KeyWho name and logo belong to us or our licensors. We grant you a non-exclusive, non-transferable right to use the service during your subscription or for your one-time verification, for your internal business purposes. You may share reports and certificates with people who have a legitimate interest in them. If you send us feedback, we may use it without obligation to you.
11. Confidentiality
Each party will keep the other's non-public information confidential, use it only for the purposes of these Terms, and protect it with reasonable care. This does not apply to information that is public, already known to the recipient, independently developed or required to be disclosed by law.
12. Availability and changes
We work to keep the service available and secure, but it may be interrupted for maintenance, by failures of third-party services, or by events beyond our control. We may improve and change the service; if a change materially reduces the features of a paid plan during your billing period, you may cancel and receive a pro-rata refund for the unused part of that period.
13. Suspension and termination
We may suspend or end your access if you materially breach these Terms, if required by law, or if your use creates a security or legal risk for us or others. Where reasonable, we will give notice first and a chance to fix the problem. You may stop using the service at any time. Sections that by their nature should continue — including 5, 9, 10, 11, 14, 15, 16 and 18 — survive termination.
14. Disclaimers
Except as expressly stated in these Terms, the service is provided “as is” and “as available”, and to the extent permitted by law we disclaim all other warranties, including fitness for a particular purpose and that results will be complete or error-free.
15. Limitation of liability
To the extent permitted by law: neither party is liable for indirect or consequential loss, or for loss of profit, revenue, business or goodwill; and our total liability arising out of or in connection with the service in any twelve-month period is limited to the fees you paid us for the service in that period. Nothing in these Terms limits liability that cannot be limited by law, such as liability for fraud.
16. Indemnity
You will compensate us for third-party claims arising from documents or information you submit without the right to do so, or from your use of the service in breach of law or of these Terms.
17. General
We may update these Terms. We will publish the new version on this page with its effective date and, for material changes, tell account holders by email in advance. You may not transfer your rights under these Terms without our consent; we may transfer ours to a successor of our business. If any part of these Terms is found unenforceable, the rest remains in effect. These Terms are written in English; any translation is for convenience only.
18. Governing law and disputes
These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The courts of Dubai have exclusive jurisdiction over any dispute arising from them, unless the parties agree another forum in writing.
